In conjunction with Your purchase of a subscription for the Sovereign Cloud Offering, You agree to these Supplemental Terms for the Sovereign Could Offering (“Supplemental Terms”) are hereby incorporated into the End User License and Services Agreement between Ivanti and You (the "Agreement"). Ivanti may revise these Supplemental Terms for the Sovereign Cloud Offering from time to time by publishing such updates at https://www.ivanti.com/company/legal. In the event that Ivanti makes any revision that includes a material change to these Supplemental Terms for the Sovereign Cloud Offering during Your subscription term (“Change”), Ivanti shall give You notice of such Change. You shall have thirty (30) days to object to any such Change by written notice to Ivanti, otherwise You agree to accept the Change and incorporate any such Change into the Agreement. If You reject the Change on a reasonable basis, the Parties shall work together in good faith to come to a mutual resolution of the issues. Capitalized terms not defined herein shall have the meaning set forth in the Agreement.
1. DEFINITIONS
1.1 “Sovereign Cloud Offering” means Ivanti Neurons for MDM – Sovereign Edition – EU.
1.2 “Ivanti Hosting Provider” means sector27, Ivanti’s authorized hosting provider of the Sovereign Cloud Offering.
2. Excluded Provisions from the Agreement.
2.1 SaaS Terms. Section 3 (SaaS Offering) of the Agreement shall not apply to Your purchase of the Sovereign Cloud Offering. The Sovereign Cloud Offering shall be solely hosted and maintained by the Ivanti Hosting Provider.
2.2 Support and Maintenance Terms. Section 6 (Support and Maintenance Services) of the Agreement shall not apply to Your purchase of the Sovereign Cloud Offering. Support and Maintenance Services for the Sovereign Cloud Offering shall be provided by the Ivanti Hosting Provider and/or Your Reseller, as determined by You and the Ivanti Hosting Provider and/or Reseller. You may not and shall not contact or share any data with Ivanti for the purposes of resolving a technical support and/or maintenance issue.
2.3 Data Processing. Section 15(c) (Personal Data) of the Agreement shall not apply to Your purchase of the Sovereign Cloud Offering. Ivanti will not Process Your Personal Data on Yours or Ivanti Hosting Provider’s behalf in relation to the Sovereign Cloud Offering.
